1. Agreement to Terms

By accessing or using Konzult's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Konzult provides custom software development services including but not limited to:

• Web application development
• Progressive Web App (PWA) development
• Business process automation
• System integration
• AI-powered feature development
• Ongoing maintenance and support

3. Quote Calculator

Our online quote calculator provides estimated pricing based on the information you provide. Please note:

• Estimates are indicative and may vary by 10-15% based on detailed requirements
• Final pricing is confirmed only after a detailed discovery session
• All prices are subject to change without prior notice
• Currency conversion rates are approximate (PPP-adjusted)

4. Project Engagement

4.1 Project Initiation

All projects begin with a signed Statement of Work (SOW) that outlines scope, deliverables, timeline, and payment terms. No work commences until the SOW is signed and initial payment is received.

4.2 Payment Terms

Standard payment structure is 40-30-30:

• 40% upon project initiation
• 30% at mid-project milestone
• 30% upon project completion

Custom payment schedules may be arranged for larger projects.

4.3 Project Changes

Changes to project scope after SOW signing will be documented in a Change Request and may affect timeline and cost. All change requests require written approval before implementation.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, the client owns all custom code, designs, and documentation created specifically for their project. This includes source code, databases, and related materials.

5.2 Third-Party Components

Projects may include open-source or third-party components governed by their respective licenses. We will inform you of any such components and their license requirements.

5.3 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio and marketing materials, unless otherwise agreed in writing.

6. Warranties and Disclaimers

6.1 Service Warranty

We provide a 30-day warranty period after project delivery during which we will fix any bugs or issues at no additional cost, provided they fall within the original project scope.

6.2 Limitation of Liability

Our liability is limited to the total amount paid for services. We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business processes, technical specifications, and any information marked as confidential.

8. Maintenance and Support

Post-launch maintenance and support services are available under separate agreements. Maintenance plans include:

• Bug fixes and security updates
• Minor enhancements (within plan limits)
• Technical support during business hours
• Regular backups and monitoring

9. Termination

9.1 Client Termination

Clients may terminate a project with 14 days written notice. Payment for work completed up to termination date is required. No refunds are provided for work already completed.

9.2 Konzult Termination

We may terminate services if payment is overdue by more than 30 days, or if client actions violate these terms. In such cases, all outstanding payments become immediately due.

10. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

1. Good faith negotiation between parties
2. Mediation by a mutually agreed mediator
3. Arbitration under Indian Arbitration and Conciliation Act, if mediation fails

These terms are governed by the laws of India, and courts in Pune shall have exclusive jurisdiction.

11. Website Use

When using our website, you agree not to:

• Provide false or misleading information
• Attempt to gain unauthorized access to our systems
• Use automated tools to scrape or copy content
• Interfere with website functionality
• Use the service for any unlawful purpose

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to this page. Continued use of our services constitutes acceptance of modified terms.
